Cornwall and Isles of Scilly Good Growth Programme has given the funds to Penzance Dry Dock.
The refit will include overhauling the dock gates, installing a new pumping system, the purchase of seven new cranes, and building new staff areas.
Penzance Dry Dock was among the first of its kind in Europe after opening in 1834.
The business recently received its first Ministry of Defence contract in 28 years and it is exploring opportunities offered by floating offshore windfarms planned for the Celtic Sea.
The works are expected to be completed next year.

Family domestic abuse support advisors work with children's social workers to give support, advice and guidance to families affected by domestic abuse.
There is an advisor in each of Cornwall Council's family assessment teams in Launceston, Liskeard, Bodmin, St Austell, Newquay, Truro, Camborne, Redruth, and Penzance.
The advisors are employed by First Light, a domestic abuse and sexual violence charity.
The family advisors can work together with social workers and other social care staff to enable children and their families to access support, which means they quickly get the right help they need.
The advisors had worked with midwives, health visitors, school nurses and other education staff.
PRESENTER:

The seals Monarch, alongside Caterpillar and Tiger Moth, was rescued by British Divers Marine Life Rescue (BDMLR) on 14 November in Port Isaac.
He was malnourished with a swollen left flipper. Medics were concerned it could be fractured.
Monarch has since had an X-ray on his flipper and has started antibiotic treatment for an infection.
A specialist BDMLR facility also served as an overflow centre, offering pups vital support when the Gweek hospital reaches its capacity.
More than 40 pups have been rescued so far this pupping season which runs from late August to January.
That’s all from me, have a good week.
